These Terms of Use (“Terms”) are an agreement between you and the IIHS (Institution Deemed to be) University that governs your use of our websites, online resources, electronic forms and surveys, interactive exhibitions, mobile applications, online forums, and other online portals or platforms (collectively, our “sites and portals”). The words “user”, “you”, and “your” refer to entities or individuals that access or use the sites and portals. By accessing and engaging with our sites and/or portals, you agree that you have read these Terms and shall abide by and adhere to these Terms, as amended from time to time. These Terms do not alter in any way the terms or conditions of any other written and formally executed agreement you may have with us.

1. Copyright and Use

A. License

The information, materials, data, data sets and data compilations, meta data, text, software, music, sound, photographs, artistic works, graphics, video, messages, documents, and any other materials available on our sites and portals (“Online Content”) are protected under the intellectual property rights of IIHS (Institution Deemed to be) University or their respective authors or owners. For permission to reproduce Online Content other than Third Party Online Content (defined below), it is necessary to contact the IIHS (Institution Deemed to be) University webmaster or the respective author(s) or licensor(s) of such Online Content, as the case may be. (Please see Clause 7 below regarding Third Party Online Content.)

You are free to use, download, share, copy, duplicate, print, distribute, transmit, broadcast, modify, perform, display, post and/or upload the Online Content, other than Third Party Online Content, under the following conditions:

• Attribution – You must attribute such Online Content in the manner specified by the author or licensor (but not in any way that suggests that the author(s) or licensor(s) endorse(s) you or your use of such Online Content).
• Non-Commercial – You may not use such Online Content for commercial purposes.

With the understanding that:

• Waiver – Any of the above conditions can be waived if you get permission from the copyright holder(s).
• Public Domain – Where such Online Content or any of its elements is in the public domain under applicable law, that status is in no way affected by this license.
• Share Alike: If such Online Content is remixed, transformed or built upon, further contributions shall be distributed under the same license as this original license.
• Other Rights – In no way are any of the following rights affected by the license:
  Your fair dealing or fair use rights or other applicable copyright exceptions and limitations;
  The author’s moral rights;
  Rights other persons may have either in such Online Content itself or in how such Online Content is used, such as publicity or privacy rights.

B. General Use Restrictions

In addition to the above, you are not permitted to:

• Interfere with or disrupt the proper functioning of our sites and portals, Online Content or User Contributions (defined below) or any networks or systems used by IIHS (Institution Deemed to be) University;
• Attempt to disable, bypass, modify, defeat or otherwise circumvent the authentication or security systems used on our sites and portals, Online Content or User Contributions;
• Remove, obscure or modify in any way any intellectual property notices, proprietary notices or disclaimers as they appear on our sites and portals, Online Content or User Contributions;
• Infringe, misappropriate or violate the intellectual property, proprietary or other rights of any party in connection with your use of our sites and portals and/or Online Content;
• Scrape Online Content or User Contributions, including through a bot or webcrawler, for commercial or illegal purposes;
• Use our sites or portals and/or Online Content in a manner that is unlawful, harmful, violative of the rights of any party or otherwise objectionable;
• Provide to IIHS (Institution Deemed to be) University, or upload or make available to/through our sites and portals any User Contribution that contains viruses or malicious code, or is unlawful, harmful, abusive, vulgar, defamatory, obscene, violative of the rights of any party or otherwise objectionable;
• Provide to IIHS (Institution Deemed to be) University or upload or make available to/through our sites and portals any personal data or User Contribution you are not authorised to provide under the applicable law;
• Use our sites or portals, Online Content and/or User Contributions in a manner that suggests that you are a representative of IIHS (Institution Deemed to be) University, without IIHS (Institution Deemed to be) University’s prior written consent;
• Use our sites or portals, Online Content and/or User Contributions for commercial, advertising, promotional, political or lobbying purposes; or
• Use our sites or portals, Online Content and/or User Contributions to cause any loss, damage or harm whatsoever to IIHS (Institution Deemed to be) University’s operations, employees, members, students, facilities or any other person/entity/property.

IIHS (Institution Deemed to be) University reserves the right to modify, remove or block access to any Online Content or User Contribution from its sites and portals, but does not undertake any duty to do so. Violation of these Terms may result in immediate suspension or termination of your access to the sites and portals, Online Content and/or User Contributions. You agree to immediately notify IIHS (Institution Deemed to be) University in the event of an actual/suspected breach of these Terms, and to furnish all information and proper assistance as may be required by IIHS (Institution Deemed to be) University to exercise its rights in the event of such actual/suspected breach of these Terms.

2. Trademarks

The IIHS (Institution Deemed to be) University logo and name are trademarks of IIHS (Institution Deemed to be) University. You may not use, reproduce, copy or distribute IIHS (Institution Deemed to be) University’s trademarks, service marks, logos, trade names, and any other proprietary designations without IIHS (Institution Deemed to be) University’s prior written permission.

All trademarks, service marks, logos, trade names, and any other proprietary designations displayed on sites and portals, Online Content and/or User Contributions (“Third Party Trademarks”) belong to their respective owners and are subject to any terms, conditions and policies applicable to them. You are responsible for contacting the respective third parties for use of such Third Party Trademarks.

3. Privacy Statement

By using our sites and portals, you agree to be bound by the IIHS (Institution Deemed to be) University Privacy Policy.

4. Disclaimer

Our sites and portals and Online Content are made available on an “as is” basis and the entire risk of use or performance remains solely with you. IIHS (Institution Deemed to be) University does not make any representations or warranties that its sites and portals and Online Content or User Contributions available therein are accurate, adequate, complete, availability without disruption, free from defects or errors, fit for purpose, or in respect of title or non-infringement.

5. Third Party Online Content and Links to Other Sites

Our sites and portals may contain Online Content that are created or owned by third parties (“Third Party Online Content”). In addition, our sites and portals, or any Online Content or User Contribution available on our sites and portals, may contain links to other websites, applications or online platforms that are created or owned by third parties (“Third Party Links”).

We neither control nor endorse, nor are responsible for, any Third Party Online Content or Third Party Links. The availability of any Third Party Online Content and Third Party Links through our sites and portals, any Online Content or User Contribution, website does not imply our endorsement of, or affiliation with, such third party. Your use of any Third Party Online Content is at your own risk and is subject to any terms, conditions and policies applicable to them.

6. User Contribution

Our sites and portals may give you the option to provide information, materials, comments, data, data sets and data compilations, meta data, text, music, sound, photographs, artistic works, graphics, videos, messages, documents or other materials; and opinions, feedback, surveys, remarks, suggestions, reviews or tips (“User Contributions”), all of which may be published, displayed or posted in public areas of our sites and portals or transmitted to other users of our sites or portals, including through third party websites and services such as social media services that are integrated into or linked to our sites and portals.

By providing your User Contribution, you agree:

• That your User Contribution is posted on our sites and portals and transmitted to others at your own risk;
• And further represent and warrant, that your User Contribution does not infringe or violate the rights of any person/entity and does not contain confidential or proprietary information of you or any other party, and that you have the legal power and authority to grant the rights under this Clause 6;
• To comply with the General Use Restrictions stipulated in Clause 1(B) of these Terms above;
• To grant IIHS (Institution Deemed to be) University a worldwide, royalty-free, transferrable, non-exclusive, perpetual and irrevocable license to make, use, copy, modify, adapt, publicly perform or display, broadcast, transmit, distribute, publish, translate or distribute your User Contribution (and derivative works thereof) in any form or medium, without credit or compensation to you, and that IIHS (Institution Deemed to be) University shall in its sole discretion publish your name and other information about you in connection with your User Contribution;
• That IIHS (Institution Deemed to be) University is under no obligation to post, display perform, broadcast, distribute, publish or distribute your User Contribution and that IIHS (Institution Deemed to be) University may edit, block, refuse to post or remove any User Contribution at any time at its sole discretion;
• That IIHS (Institution Deemed to be) University does not have any responsibility and shall not be liable for the access to, or use of, your User Contribution available on our sites and portals by third parties.

7. Indemnification

You agree to indemnify and hold IIHS (Institution Deemed to be) University harmless from any claims, losses or damages, including legal fees, resulting from your violation of these Terms, your use of this or any other site or your placement of any content onto this or any other site, and to fully cooperate in IIHS (Institution Deemed to be) University’s defence against any such claims.

You agree that IIHS (Institution Deemed to be) University will not be liable to you for any loss or damages, either actual or consequential, arising out of or relating to these Terms, or to your (or any third party) use or inability to use this site, or to your placement of content on this site, or to your reliance upon information obtained from or through this site. In no event will IIHS (Institution Deemed to be) University be liable for any claims, losses or damages whatsoever, arising out of or in connection with your use of our sites or portals, any Online Content or any User Contribution, or your performance of these Terms.

8. Governing Law and Jurisdiction; Dispute Resolution

These Terms shall be governed exclusively by the laws of India. Courts at Bengaluru shall have exclusive jurisdiction over any disputes that may arise hereunder.

You agree that all dispute/s shall, to the extent possible, be settled in the first instance by prompt and good faith negotiations between you and IIHS (Institution Deemed to be) University. If a dispute cannot be thus resolved within a period of 30 (thirty) days of it being raised as a dispute in writing, or where we are otherwise unable to arrive at any settlement on any issue or decision for a period of 30 (thirty) days, the Conciliation attempt shall deem to have failed. In the event a dispute arises, and the Conciliation fails, you agree that such dispute shall refer the dispute for resolution by binding arbitration which shall be held in Bengaluru per mutual understanding, exclusively in accordance with the Arbitration and Conciliation Act, 1996, of India as may be amended from time to time.
